1. Acceptance of Terms

By accessing or using AlphaTerminal ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and AlphaTerminal ("we", "us", or "our"). By creating an account, you confirm you are at least 18 years of age (17 in some jurisdictions) and have the legal capacity to enter this agreement.

2. Description of Service

AlphaTerminal provides a cryptocurrency trading terminal that includes, but is not limited to:

• Real-time market data, charting, and technical analysis tools
• AI-generated trade signals and market analysis
• Automated trading features (paper and live trading)
• Copy trading functionality to mirror other traders' positions
• Portfolio analytics, DeFi monitoring, and NFT tracking
• Arbitrage detection and MEV protection tools
• Forex and options analysis tools

The Service is a technology platform only. AlphaTerminal is not a licensed financial advisor, broker-dealer, investment advisor, or financial institution. Nothing on the platform constitutes financial, investment, legal, or tax advice.

4. Risk Warnings

4.1 Cryptocurrency Risk

Cryptocurrency markets are highly volatile. Prices can move dramatically in short periods. You may lose all of your invested capital. Cryptocurrency trading is not suitable for all investors.

4.2 Automated Trading Risk

Automated trading features including the AI Auto-Trader, Copy Trading, Grid Bots, and Arbitrage Bot carry additional risks:

• Technical failures may result in missed trades or unintended orders
• Market conditions can change faster than automated systems respond
• Slippage, liquidity issues, and exchange outages may affect execution
• Past performance of any strategy or bot is not indicative of future results
• You remain responsible for all trades executed through your account

4.3 Copy Trading Risk

When using copy trading features, you are automatically replicating trades of other users or on-chain wallets. The traders or wallets you copy may lose money. Copying a profitable trader does not guarantee you will achieve the same results due to differences in timing, position size, and market conditions.

4.4 AI Signal Risk

AI-generated signals are based on pattern recognition and data analysis. They are not predictions. AI models can and do generate incorrect signals. No signal system has a 100% accuracy rate. Never trade solely on the basis of an AI signal without your own analysis.

5. Eligibility

• You must be at least 18 years of age to use the Service
• You must not be located in a jurisdiction where cryptocurrency trading is prohibited
• You must not be on any US government sanctions list or prohibited persons list
• You must provide accurate registration information and keep it current
• One account per person — creating multiple accounts is prohibited

AlphaTerminal reserves the right to verify your eligibility and may require identity verification for certain features.

6. Account Registration and Security

You are responsible for maintaining the security of your account credentials. You must:

• Use a strong, unique password for your AlphaTerminal account
• Not share your account credentials with any other person
• Notify us immediately at security@alphaterminal.trade of any unauthorized access
• Not use the Service through automated means unless explicitly permitted

You are responsible for all activity that occurs under your account. AlphaTerminal is not liable for losses caused by unauthorized access to your account resulting from your failure to maintain adequate security.

7. Exchange API Keys

If you connect exchange API keys to AlphaTerminal:

• You authorize AlphaTerminal to use those keys to perform actions you configure
• You should never grant withdrawal permissions to AlphaTerminal API keys
• You are responsible for the API key permissions you grant
• AlphaTerminal encrypts your keys but cannot guarantee security in all circumstances
• AlphaTerminal is not responsible for losses arising from compromised API keys

8. Subscriptions and Payments

8.1 Subscription Tiers

AlphaTerminal offers paid subscription tiers. Pricing is displayed at alphaterminal.trade/pricing. Features are gated by subscription tier.

8.2 Billing

Subscriptions are billed monthly in advance. Payments are processed by Stripe. By subscribing, you authorize recurring charges to your payment method on the subscription renewal date.

8.3 Refund Policy

Refund terms are governed by our Refund Policy. Generally, subscription fees are non-refundable except as required by law or as described in our Refund Policy.

8.4 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the period ends.

8.5 Price Changes

We may change subscription pricing with 30 days' notice. Founder's Rate subscribers who joined before the Elite cap was reached are locked at their founding rate for as long as they remain continuously subscribed.

9. Prohibited Uses

You agree not to use AlphaTerminal to:

• Engage in market manipulation, wash trading, or spoofing
• Violate any applicable law or regulation
• Circumvent exchange terms of service
• Reverse engineer, decompile, or attempt to extract source code
• Scrape or harvest data without written permission
• Use the platform to facilitate money laundering or terrorist financing
• Impersonate another user or misrepresent your identity
• Attempt to gain unauthorized access to any system or account
• Interfere with the platform's normal operation

10. Intellectual Property

All content, features, and functionality of AlphaTerminal — including software, AI models, UI design, trade signals, analytics, and algorithms — are owned by AlphaTerminal and protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without written permission.

You retain ownership of your personal data and trading history. By using the Service, you grant AlphaTerminal a limited license to process this data to provide the Service.

You agree to indemnify, defend, and hold harmless AlphaTerminal and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. ALPHATERMINAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI SIGNALS WILL BE ACCURATE.

14. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may suspend or limit the Service for maintenance, security, or operational reasons. We are not liable for losses resulting from service outages.

15. Termination

We may suspend or terminate your account at any time for:

• Violation of these Terms
• Fraudulent, illegal, or abusive conduct
• Non-payment of fees
• Risk to the platform or other users

You may close your account at any time. Upon termination, your right to use the Service ceases immediately. Sections 3, 4, 10, 11, 12, 13, and 17 survive termination.

16. Changes to Terms

We may update these Terms. We will notify you of material changes via email or in-app notification at least 14 days before they take effect. Continued use of the Service after changes constitutes acceptance.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except you may bring claims in small claims court if they qualify.

CLASS ACTION WAIVER: You waive any right to bring claims as a class action or in a class-wide arbitration.
